The Bosch affair: the deal Washington never forgot
A confidential arrangement over American Bosch Corporation brought the Wallenberg family into conflict with Washington during and after the Second World War. Documents recovered in Germany in 1945 challenged the account of Swedish ownership, leading to restrictions on American assets and contributing to a leadership change at Stockholms Enskilda Bank.

The arrangement behind the purchase
In 1940, Stockholms Enskilda Bank acquired a controlling stake in American Bosch. The transaction placed the company under ostensibly neutral Swedish ownership as its German parent sought to protect its international interests from wartime seizure.

Confidential memoranda, however, preserved Bosch’s opportunity to recover control. These understandings restricted the disposal of a majority holding without allowing Bosch to repurchase it. Although unsigned, they raised a fundamental question: had ownership genuinely changed, or were Swedish interests temporarily holding German assets?

American investigators examine ownership
US Treasury investigators were examining the transaction before the war ended. Contemporary records preserved in Treasury Secretary Henry Morgenthau Jr’s diaries show officials questioning whether German interests remained behind the Swedish shareholding.

The bank maintained that the acquisition was genuine and that the repurchase arrangements had ceased to apply. American authorities nevertheless seized American Bosch as enemy property in May 1942.

After Germany’s defeat, American troops found documents in Bosch’s Stuttgart archives recording the earlier arrangements. Corresponding Swedish papers had been destroyed. The surviving copies strengthened American suspicions that the transaction had concealed continuing German interests.

Blocked assets and diplomatic consequences
On 8 August 1945, the US Treasury designated the bank and brothers Jacob and Marcus Wallenberg “special blocked nationals”. Access to their American assets required individual authorisation, while the bank was prevented from conducting American business for its customers.

Marcus underwent Treasury questioning that autumn. The brothers also sought Swedish diplomatic support, but officials refused to endorse their conduct with the comprehensive assurance they requested.

The restrictions were lifted in 1947. A settlement in 1950 returned the bank’s original investment, without compensation for its increase in value.

A change within the family
The affair contributed to Jacob’s earlier-than-planned departure as managing director. In March 1946, his younger brother Marcus succeeded him at the bank.

Jacob retained important responsibilities within the family’s investment companies, but the controversy damaged his standing and intensified tensions between the brothers. Beyond the financial settlement, the Bosch affair exposed the consequences of confidential ownership arrangements when wartime authorities challenged the distinction between legal title and effective control.
