NEW YORK, NY — July 23, 2026 — MSTRpay AB (“MSTRpay”) today announced the signing of a Memorandum of Understanding (“MOU”) with PACT Microfinance Bank Ltd. (“PACT”), a licensed Tier 2 Unit Microfinance Bank regulated by the Central Bank of Nigeria. The agreement represents a major milestone in MSTRpay’s continued expansion across Africa and establishes the Company’s Strategic Market Access Partnership (SMAP™) in Nigeria, Africa’s largest economy and one of the continent’s most dynamic digital financial markets.
PACT is a regulated Nigerian microfinance bank committed to promoting financial inclusion through responsible financial services, community banking and digital innovation. Operating under the supervision of the Central Bank of Nigeria, the institution has established itself as an important participant in expanding access to financial services for individuals, entrepreneurs and underserved communities.
The MOU establishes a framework for long-term cooperation and launches a 180-day joint
Evaluation and Validation Programme under MSTRpay’s Strategic Market Access Partnership (SMAP™) Framework. During this period, the Parties will jointly evaluate opportunities to deploy digital financial services, wallet infrastructure, merchant ecosystems, behavioural scoring, customer onboarding, MSTRphone device financing, Cash In/Cash Out (CICO) services, recurring payment solutions and future financing programmes adapted to the Nigerian market.
With a population exceeding 230 million people, Nigeria is Africa’s largest economy and one of the continent’s fastest-growing digital financial ecosystems. Through this partnership, MSTRpay intends to combine its proprietary technology platform, customer activation capabilities and digital financial ecosystem with PACT’s licensed banking infrastructure, regulatory expertise and local market presence to accelerate financial inclusion and digital transformation across Nigeria.
The partnership reflects MSTRpay’s long-term strategy of collaborating with regulated financial institutions that share the Company’s commitment to responsible governance, sustainable growth and financial inclusion. Throughout the Evaluation Programme, both Parties will jointly validate operational, regulatory, technological and commercial opportunities before progressing toward definitive long-term agreements.
The agreement was developed through MSTRpay’s Emerging Markets organisation under the Company’s Strategic Market Access Partnership (SMAP™) Framework. The process was led by Peter Rinaldo, Head of Business Development – Emerging Markets, in close cooperation with Mr. Felix Baah, Regional Representative for Africa, and Nasser Philippe da Silva, Agent for Nigeria. Together, the Emerging Markets team coordinated the local partner engagement, due diligence process, commercial negotiations and execution of the Memorandum of Understanding.
